These Terms and Conditions govern the relationship between Miroven ("we", "us", "our") and residents, their families, and individuals who engage with our services or website. By enquiring about, agreeing to, or receiving residential care from Miroven, you accept these terms in full.

1. Definitions

"Miroven" — the residential care facility operating at 9 Moo 2, Kamala, Kathu, Phuket 83150, Thailand.

"Resident" — any individual who is admitted to and receives care services from Miroven.

"Family Member / Authorised Representative" — a person designated by the resident or their legal guardian to act on their behalf in matters relating to care arrangements.

"Agreement" — the care arrangement agreed between Miroven and the resident or their representative, incorporating these Terms and Conditions.

"Program" — any of Miroven's residential care offerings: Island Rest Program, Garden Residence, or Coastal Nursing Care.

"Services" — the residential care, personal support, nursing, and enrichment services delivered under a Program.

"Website" — the Miroven website accessible at mirovenen.info.

2. Acceptance of Terms

These Terms and Conditions apply from the moment you submit an enquiry, sign a care agreement, or commence a residential arrangement with Miroven. Use of our website also constitutes acceptance of these terms.

To enter into a care agreement with Miroven, the resident or their authorised representative must be at least 18 years of age and have the legal capacity to enter into a binding arrangement under Thai law.

3. Service Description

Miroven provides residential care services for seniors across three programs. The scope of services included in each program is described on our website and in the individual care agreement. Services are provided within the Miroven facility in Kamala, Phuket.

Miroven is a residential care facility. We are not a hospital and do not provide acute medical care. We coordinate with external medical providers where clinical intervention is required. Geographic restrictions may apply — please enquire about suitability for residents not currently residing in Thailand.

4. Admissions and Care Agreements

Admission to Miroven is subject to an assessment of the prospective resident's care needs and suitability for the available programs. Miroven reserves the right to decline an admission where the required level of care falls outside our scope.

A written care agreement will be prepared prior to admission, setting out the program, included services, fee schedule, and any specific arrangements. The agreement must be signed by the resident or their authorised representative before admission commences.

Care plans are reviewed regularly and may be amended by mutual agreement. Miroven will communicate any recommended changes to the family and seek acknowledgement before implementing significant adjustments.

5. Fees and Payment

Monthly program fees are payable in Thai Baht (THB) in advance at the beginning of each month unless otherwise agreed in writing. Current program rates are:

฿67,500/month

Additional charges may apply for services outside the standard program scope, including specialist medical consultations, specific therapeutic sessions, or external medical transport. These will be communicated in advance wherever possible.

Miroven reserves the right to revise fees with a minimum of 60 days' written notice. Payment is accepted by bank transfer. Invoices are issued at least 7 days before the due date. Overdue payments may incur a late charge as specified in the care agreement.

6. Resident Rights and Responsibilities

Miroven is committed to upholding the rights and dignity of every resident. Residents have the right to privacy, to participate in care planning decisions, to receive visitors, and to raise concerns without fear of reprisal.

In return, residents and their representatives are expected to treat Miroven staff and other residents with respect, provide accurate and complete information relevant to care, and notify Miroven promptly of any changes in health, circumstances, or emergency contact details.

Behaviour that is threatening, abusive, or disruptive to the care environment may, following appropriate steps, result in a care agreement being reviewed or ended.

7. Intellectual Property

All content on the Miroven website — including text, images, design elements, and program descriptions — is owned by or licensed to Miroven. No part of this content may be reproduced, distributed, or used commercially without prior written consent.

You are granted a limited, personal, non-transferable licence to access the website for the purpose of learning about and enquiring about Miroven's services.

8. Cancellation and Termination

For the Island Rest Program, a minimum of 14 days' written notice is required to end a stay early. For Garden Residence and Coastal Nursing Care, 30 days' written notice is required by either party to end the care arrangement, unless circumstances require an emergency transition.

Fees are not refundable for the notice period once given, except in exceptional circumstances at Miroven's discretion. Where a resident is hospitalised or requires emergency care elsewhere, the care agreement terms will be discussed with the family individually.

Miroven may terminate a care agreement with immediate effect in circumstances where the safety of the resident, other residents, or staff cannot be maintained. We will work with families to arrange an appropriate alternative wherever possible.

9. Disclaimers

Miroven provides residential care services with genuine attentiveness and professional commitment. However, we cannot offer assurances about specific health outcomes, recovery timelines, or the progression of age-related conditions. Care is delivered to support and maintain wellbeing — not to produce particular medical results.

The Miroven website is provided for informational purposes. While we keep it accurate and up to date, we do not represent that all content is free from error at all times.

10. Limitation of Liability

To the extent permitted by Thai law, Miroven's total liability in connection with any care agreement or website use shall not exceed the total fees paid for the month in which the relevant issue arose.

Miroven shall not be liable for indirect, consequential, or incidental losses arising from the use of our services or website, except where liability cannot be excluded by law.

11. Indemnification

By entering into a care agreement or using our website, you agree to indemnify Miroven against claims, losses, or expenses arising from your breach of these terms, your misrepresentation of information provided to us, or your unlawful conduct.

12. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the Kingdom of Thailand. Any disputes arising from these terms or from a care agreement will first be subject to good-faith negotiation between the parties.

If a resolution cannot be reached informally, disputes will be referred to the courts of Phuket Province, Thailand, unless both parties agree to an alternative process such as mediation.

13. General Provisions

Entire Agreement: These Terms and Conditions, together with any signed care agreement, constitute the entire agreement between the parties and supersede any prior discussions or representations.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full effect.

Waiver: Miroven's failure to enforce any provision at any time does not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under a care agreement without our prior written consent. Miroven may assign its rights in the context of a business transfer, with notice to affected parties.

Notices: Formal notices under these terms should be sent in writing by email to [email protected] or by post to our registered address.

14. Changes to These Terms

We may update these Terms and Conditions from time to time. Material changes will be communicated to residents and families with at least 30 days' notice before taking effect. The current version of these terms is always available on our website.

Continued use of Miroven's services following a change to these terms constitutes acceptance of the updated version.
